Terms of service.

1. Acceptance

By creating an account, accessing the Services, or otherwise using ShippingBill.ai, you ("Customer") agree to these Terms of Service ("Terms"), our Privacy Notice, and any plan-specific terms. If you do not agree, do not use the Services.

2. Services

ShippingBill.ai is informational and analytical software that helps Indian MSME exporters classify HS codes, reconcile RoDTEP and other scheme claims, and track scheme eligibility. We do not file any documents at ICEGATE, DGFT, the Reserve Bank of India, GSTN, or any other government portal on Customer's behalf.

3. Customer obligations

Customer is solely responsible for: (a) the accuracy of data uploaded; (b) the final classification and filing decisions made by Customer or Customer's CA; (c) maintaining valid IEC, RCMC, and other regulatory authorisations; (d) complying with FEMA, DGFT, GST, customs and other applicable law.

4. Fees and renewal

Subscriptions are billed annually in advance in INR via Razorpay. Plans auto-renew unless cancelled at least 15 days before renewal. Refunds are not provided for unused portions of the subscription period except under the methodology refund commitment described at /methodology.

5. AI output disclaimer

HS classification suggestions, scheme eligibility computations, and rate references are produced by an AI model (currently Claude Sonnet 4.5) constrained by our reference data. Suggestions are advisory only. Customer and Customer's CA are solely responsible for verifying the accuracy of suggestions before acting on them. Notwithstanding our methodology refund commitment, ShippingBill makes no warranty as to the legal correctness of any specific classification, scheme application, or filing.

6. Limitation of liability

To the maximum extent permitted by applicable law, our total liability for any claim arising out of or relating to the Services is limited to the total fees paid by Customer in the 12 months preceding the event giving rise to the claim. We exclude liability for indirect, consequential, exemplary or punitive damages. Customer's statutory rights under the DPDP Act are unaffected.

7. Indemnity

Customer indemnifies ShippingBill against claims arising from: (a) Customer's inaccurate or unlawful data; (b) Customer's filings or classification decisions; (c) Customer's breach of these Terms or applicable law.

8. Termination

Either party may terminate for material breach with 30 days' written notice and opportunity to cure. ShippingBill may suspend Services immediately for non-payment, abuse, or activity that risks the security of the platform.

9. Confidentiality

We treat Customer data and shipping bill content as confidential and only disclose it as required by law, with Customer's consent, or to our subprocessors under written confidentiality obligations.

10. Governing law and dispute resolution

These Terms are governed by Indian law. Any dispute arising out of or in connection with these Terms shall be referred to and finally resolved by arbitration administered by the Mumbai Centre for International Arbitration (MCIA) under the MCIA Rules. The seat of arbitration shall be Bengaluru, Karnataka. The language of arbitration shall be English. The courts of Bengaluru shall have exclusive jurisdiction over any matter not subject to arbitration.

11. Changes to these terms

We may amend these Terms with at least 30 days' prior notice for material changes. Continued use after the effective date constitutes acceptance. Material changes that adversely affect Customer rights entitle Customer to terminate with a pro-rated refund.
